Terms for Online Innovation Course for SMEs

The following is an outline of the Terms of Use specific to the Wade Institute for Entrepreneurship's Online Innovation Course for SMEs 

  1. You must be over 18 years of age, and located within Australia to be eligible to undertake the program.
  2. You agree that we may share de-identified personal information about you with the Program Partners.
  3. We may terminate the Course and your access to any Course Materials with immediate effect if the Program is terminated by the Program Partners or otherwise can no longer be delivered for reasons beyond our control.

The following definitions apply:

Commencement Date means the date the Course goes live on Wade’s learning platform.

Course means Online Innovation Course for SME's

Course Materials means all materials made available by Wade as part of the Course, including any articles, commentary, handouts, worksheets, video and audio.

Program Partners means the Commonwealth Bank of Australia ABN 48 123 123 124 and The University of Melbourne ABN 84 002 705 224.

Program means the 2026 CommBank Innovation Initiative. 

Wade, we, us or our means the Wade Institute of Entrepreneurship.

You means the person who has registered for the Course.

GENERAL LEARNER TERMS

WADE INSTITUTE PROGRAM TERMS

The following is the Wade Institute of Entrepreneurship's standard program Terms and Conditions. 

1 INTRODUCTION

1.1 These terms and conditions (“General Terms”) apply to all Courses delivered or made available by the Wade Institute of Entrepreneurship (“we”, “us” or “our”) to you through the Platform. Some Courses are also subject to specific terms and conditions (“Course-Specific Terms”) which will be provided upon registration.

1.2 By registering or applying to register for a Course, you accept the General Terms and any applicable Course-Specific Terms for that Course (together, the “Terms”).

1.3 To the extent of any inconsistency between the General Terms and the Course-Specific Terms, the Course-Specific Terms will prevail.

1.4 We may amend these Terms from time to time. Any changes will be notified on our website. The version of these Terms which is current when you register for a Course will apply for that Course. Any changes to these Terms will apply from when you next register for a Course.

 

2 REGISTRATION

2.1 You will need to register for a Course on our website to access the Course and Course Materials.

2.2 To register for a Course, you must be at least 18 years of age and satisfy any eligibility requirements set out in the Course-Specific Terms.

3 COURSE FEES

3.1 Course Fees are payable at the time of registration, or as otherwise specified in the Course-Specific Terms.

3.2 Your registration in a Course is not complete until we receive payment of the Course Fees in full.

3.3 Unless otherwise indicated, Course Fees are specified exclusive of GST. If GST is payable by us on or in respect of any taxable supply made by us under these Terms, you will pay us an additional amount equal to the GST payable on or in respect of the supply at the same time as the consideration for the supply is to be provided by us, subject to us providing you with a valid tax invoice. In this clause, words and expressions used which are defined in the A New Tax System (Goods and Services Tax) Act 1999 (Cth) have the same meaning as in that Act.

4 COURSE DELIVERY

4.1 We may deliver Courses on-site at our campus location, remotely through our Platform, or in a hybrid format, at our discretion.

4.2 We reserve the right to interrupt, delay, reschedule or cancel a Course at any time. We will use reasonable endeavours to provide you with prior notice of any such interruption, rescheduling or cancellation. If we:

(a) delay, interrupt or reschedule a Course and as a result you are unable to participate in or complete the Course; or

(b) cancel a Course which you have not yet completed, we will provide a full refund of any Course Fees paid by you for that Course.

4.3 After you complete a Course, we may allow you to continue to access the Platform and view Course Materials for a period of time. These Terms will continue to apply for as long as you continue to have access to the Platform and Course Materials. We reserve the right to revoke your access to the Platform and Course Materials at any time after you complete the Course, and that revocation will not entitle you to a refund of the Course Fees under clause ‎4.2.

4.4 We reserve the right to modify, replace or revoke access to any Course Materials at any time.

5 WITHDRAWAL AND DEFERRALS

5.1 Unless expressly provided in the Course-Specific Terms, you may not withdraw from or defer a Course, and you will not be entitled to a refund of any Course Fees on the basis that you have ceased to participate in or did not complete a Course.

6 PLATFORM

6.1 We grant you a non-exclusive, non-transferable licence to access and use the Platform to participate in the Course and access Course Materials while they are available on the Platform. We reserve the right to revoke your access to the Platform once you have completed the Course, or at any time if you do not comply with these Terms.

6.2 You must keep your access credentials for the Platform secure and not share or permit any other person to use your access credentials.

6.3 You must use the Platform in accordance with the following terms:

(a) Respectful Conduct: We expect all users of the Platform to treat each other with respect and kindness. Discrimination, hate speech, harassment, or any form of disrespectful behavior towards others will not be tolerated.

(b) Appropriate Content: The Platform is a place for learning and sharing knowledge. Please refrain from sharing content that is inappropriate, offensive, or violates the law. This includes sexually explicit material, violent content, illegal activities, or content that infringes on someone else's intellectual property rights.

(c) Personal Information: Protect your personal information and the personal information of others. Do not share private or confidential information about yourself or others on the Platform. This includes contact information, financial information, and personal identification information.

(d) Moderation: We reserve the right to remove any content from the Platform that violates our terms, and to take appropriate action against any user who violates these Terms.

6.4 You must also use the Platform in accordance with the end-user terms imposed by the third-party provider of the Platform, if any. You will be notified of any such terms on the Platform.

6.5 You acknowledge and agree that availability of the Platform is not guaranteed. The Platform may be unavailable from time to time for system maintenance and planned outages. We will use reasonable endeavours to provide you with prior notice of such outages.

7 PRIVACY POLICY

7.1 We will collect personal information about you when you register for a Course, to administer your participation in the Course. The personal information we hold about you will be handled in accordance with our Privacy Policy or as otherwise permitted by law.

8 INTELLECTUAL PROPERTY

8.1 The Course Materials are subject to copyright under Australian law and, under international treaties, the laws of many other countries. Unless otherwise indicated, copyright in the Course Materials is owned by us, our contributors, or any third party identified in the Course Materials.

8.2 You may access, use and copy the Course Materials solely for the purpose of participating in the Course. Without limiting the previous sentence, you must not:

(a) use or copy the Course Materials for any other purpose, including any commercial purpose;

(b) distribute or publish the Course Materials in any form; or

(c) sub-licence or permit any other person to use or copy the Course Materials.

9 POLICIES AND PROCEDURES

9.1 You agree to comply with any applicable policies and procedures specified in the Course-Specific Terms, as varied and updated from time to time.

10 DISCLAIMERS

10.1 You acknowledge that the information and insights in the Courses and the Course Materials are provided for educational purposes only and do not constitute individual financial, legal, tax or other advice. Participants should apply their own judgment and undertake further research before acting on any information shared during a Course.

10.2 You acknowledge that the Course Materials are provided on an "as is" basis. While we aim to ensure that all information shared is accurate and relevant, we make no representations or warranties as to the completeness, accuracy, or suitability of Course Materials. Any views expressed in Course Materials are the views of the individual authors and speakers and do not necessarily reflect our views.

10.3 You acknowledge that entrepreneurial business and investment involves risk. You are strongly encouraged to consider your own personal circumstances and seek independent advice before making any business or investment decisions, which remain entirely your responsibility.

10.4 To the maximum extent permitted by law, all implied conditions and warranties in relation to the Course, Course Materials and Platform are excluded. In respect of any implied conditions or warranties which cannot be excluded (including the consumer guarantees under the Australian Consumer Law), then to the extent permitted by law, our liability is limited, at our option, to:

(a) in the case of goods, replacing or repairing the affected goods, or paying the cost of replacing or repairing them; or

(b) in the case of services, resupplying the affected services or paying the cost of resupplying them.

11 LIABILITY

11.1 To the extent permitted by law, our maximum liability for any loss, damage, costs, expenses or liability suffered or incurred by you arising from or in connection with your participation or non-participation in a Course or your use of or reliance on the Course Materials, whether for breach of contract, in tort (including negligence), under statute or on any other basis, will be the amount of the Course Fees paid by you in relation to the relevant Course.

11.2 To the extent permitted by law, we will not be liable for any indirect or consequential loss, loss of income or profit, loss of opportunity or loss of or damage to reputation, regardless of whether such loss or damage could have been foreseen or prevented by either party.

12 COMPLAINTS

12.1 All complaints should be lodged by email to enquiries@wadeinstitute.org.au addressed to the Managing Director and will be handled by us in accordance with the Ormond College Complaints Policy.

13 GENERAL

13.1 These Terms are governed by the laws of Victoria. The parties submit to the exclusive jurisdiction of the courts of Victoria, the Federal Court of Australia, and any courts with jurisdiction to hear appeals from those courts.

14 DEFINITIONS

In these Terms:

Course means any educational course offered by us or on our behalf through the Platform.

Course Materials means all materials made available by us as part of the Course, including any articles, commentary, handouts, worksheets, video and audio.

Platform means the platform hosted on our website or the third-party platform used to deliver all or part of the Course.
